Incorporation is only the start. SECP expects a stream of filings every year, and penalties accumulate daily when they are missed. Use this checklist to keep your company in good standing.
Every year
- Hold the Annual General Meeting within 120 days of financial year-end (private companies may dispense with it under certain conditions)
- File Form A (annual return) within 30 days of the AGM
- File audited financial statements, unless exempt as a small company
- Pay the annual filing fee
Whenever something changes
- Form 29: change of directors, CEO, secretary or auditor within 15 days
- Form 21: change of registered office address
- Form 3: allotment of shares within 45 days
- Special resolution filings for name or object changes
Tax side
- Annual income tax return by 31 December (June year-end)
- Quarterly advance tax instalments
- Monthly withholding statements and sales tax returns if registered
Let us be your compliance department
Our regulatory compliance service tracks every date and prepares each filing. Most clients pay a small monthly retainer and never see an SECP penalty again.
